Terms of Service

Our services

We provide ecommerce development, marketing, advertising, SEO, lead generation, consulting and related services. The exact scope, deliverables, timeline and price for each engagement are set out in a proposal, invoice or service agreement ("Order"). If an Order conflicts with these Terms, the Order prevails for that engagement.

Your responsibilities

• Provide accurate information, timely feedback and the access we need
• Ensure you have the rights to any content, trademarks and materials you provide
• Ensure your products, claims and business comply with applicable laws and platform policies
• Pay advertising platforms, apps, suppliers and other third parties directly unless agreed otherwise

Delays caused by missing information or access may extend timelines.

Fees and payment

Prices are shown in US dollars and euros. Unless stated otherwise in an Order, packages are payable 50% upfront and 50% on delivery, and monthly services are billed in advance. Prices exclude taxes, advertising spend and third-party costs. Late payments may result in paused work.

Revisions and approvals

Each package includes reasonable revisions within the agreed scope. Work outside the agreed scope is quoted separately. Deliverables are considered accepted if no written feedback is received within 7 days of delivery.

Ownership and intellectual property

Once paid in full, you own the final deliverables we create specifically for you, including store designs, copy, creatives and brand files. Accounts are created in your name or transferred to you. We keep ownership of our pre-existing tools, templates, know-how and methods, and grant you a license to use them as part of your deliverables. We may reference the general nature of our work for you in our portfolio unless you ask us not to.

Third-party platforms

Our work relies on third-party platforms such as Shopify, Meta, Google and TikTok. We are not responsible for their decisions, outages, policy changes, account restrictions or fees.

No guarantee of results

Marketing and sales results depend on many factors outside our control, including your product, pricing, budget, market conditions and platform algorithms. We do not guarantee any specific revenue, profit, ranking, traffic or return on ad spend. See our Disclaimer.

Confidentiality

Each party will keep the other's non-public business information confidential and use it only for the engagement, except where disclosure is required by law.

Limitation of liability

To the fullest extent permitted by law, our total liability for any claim relating to our services is limited to the fees you paid us for the specific service giving rise to the claim in the three months before the claim. We are not liable for indirect, incidental or consequential losses, including lost profits, lost data or business interruption.

Indemnity

You agree to indemnify us against claims arising from your products, content, business practices or breach of these Terms.

Termination

Either party may end an engagement with written notice as set out in the Order. Fees for work completed up to termination remain payable. Refunds are handled under our Refund Policy.

Use of this website

You may not misuse this website, attempt to gain unauthorized access, or copy its content for commercial use without permission. Website content is provided for general information and may change without notice.

Governing law and disputes

These Terms are governed by the laws of the State of Wyoming, USA, without regard to conflict-of-law rules. The parties will first try to resolve disputes informally in good faith. Unresolved disputes will be handled by the courts located in Wyoming, unless mandatory consumer protection laws in your country provide otherwise.

Changes

We may update these Terms. The version in force when you sign an Order applies to that engagement.
